Please read these terms carefully before using SyncSchool. By accessing or using our platform, you agree to be bound by these terms.

1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "School", or "Institution") and Prajna Tech Labs ("Company", "we", "us", or "our"), the developer and operator of the SyncSchool platform.

By registering for, accessing, or using SyncSchool — including our web application, mobile applications, APIs, and any related services (collectively, the "Platform") — you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Platform. If you are accepting on behalf of an institution, you represent that you have the authority to bind that institution to these Terms.

2. Description of Services

SyncSchool is an AI-powered school management platform that provides, among other things:

  • Automated timetable and scheduling generation
  • Student attendance tracking and analytics
  • Predictive grade and performance reporting
  • Generative AI tools for report cards, parent communication, and administrative tasks
  • Parent and student mobile applications
  • Administrative dashboards and data exports

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with reasonable prior notice where practicable.

3. Accounts & Registration

3.1 Account Creation

To access the Platform you must register and create an account. You agree to provide accurate, current, and complete information during registration and to keep this information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@prajnatechlabs.com if you suspect any unauthorised access.

3.3 Institutional Administrators

School administrators who register on behalf of an institution are responsible for managing user access within their institution, ensuring all users comply with these Terms, and for any data submitted through their account.

4. Acceptable Use

You agree to use the Platform only for lawful educational and administrative purposes. You must not:

  • Upload, transmit, or distribute any content that is unlawful, harmful, defamatory, or abusive
  • Attempt to gain unauthorised access to any part of the Platform or another user's account
  • Use the Platform to send unsolicited communications (spam)
  • Reverse-engineer, decompile, or disassemble any part of the Platform
  • Use automated bots, scrapers, or crawlers to access the Platform without our prior written consent
  • Resell or sublicense access to the Platform without our written authorisation
  • Use the Platform in any manner that could damage, disable, or impair its performance
  • Violate any applicable local, national, or international law or regulation

We reserve the right to investigate and take appropriate action against violations, including suspension or termination of accounts.

5. Intellectual Property

5.1 Our IP

All content, features, functionality, software, algorithms, AI models, logos, trademarks, and trade dress on the Platform are and will remain the exclusive property of Prajna Tech Labs and its licensors. These Terms do not grant you any right to use our intellectual property beyond what is necessary to use the Platform as intended.

5.2 Your Data

You retain full ownership of all data you upload or generate through the Platform ("Your Data"). By using the Platform, you grant Prajna Tech Labs a limited, non-exclusive licence to process Your Data solely for the purpose of delivering the services to you.

5.3 Feedback

If you provide feedback, suggestions, or ideas about the Platform, you grant us a perpetual, royalty-free licence to use that feedback without restriction or compensation to you.

6. Data & Privacy

Our collection and use of personal information in connection with the Platform is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our data practices as described therein.

SyncSchool is committed to compliance with applicable data protection laws, including but not limited to FERPA (where applicable), India's Digital Personal Data Protection Act 2023 (DPDP), and COPPA for users under the age of 13.

Student data is never sold to third parties, used for advertising, or shared beyond what is necessary to deliver the Platform's services.

7. Payment & Billing

7.1 Subscription Fees

Access to certain features of the Platform requires a paid subscription. Fees are set out in the pricing plan selected at the time of registration. All fees are quoted in Indian Rupees (INR) or US Dollars (USD) as specified, and are exclusive of applicable taxes unless stated otherwise.

7.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. You authorise us to charge your chosen payment method at each renewal period unless you cancel before the renewal date.

7.3 Refunds

Subscription fees are non-refundable except where required by applicable law or where a material service failure was caused solely by us. Free trial periods are not eligible for refunds.

7.4 Price Changes

We may change our fees upon 30 days' advance written notice. Continued use of the Platform after a price change constitutes acceptance of the new fees.

8. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

  • The Platform will be uninterrupted, error-free, or completely secure
  • Any AI-generated content, recommendations, or predictions will be accurate or complete
  • The results obtained from using the Platform will meet your requirements

AI-generated outputs (report cards, scheduling suggestions, grade predictions, etc.) are provided as decision-support tools only. Final decisions regarding students remain the responsibility of the relevant educators and administrators.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Prajna Tech Labs and its directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or other intangible losses — arising out of or in connection with your use of the Platform.

In no event shall our total aggregate liability to you exceed the greater of: (a) the amount you paid us in the 12 months preceding the claim, or (b) INR 10,000 (ten thousand rupees).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability; in such jurisdictions our liability is limited to the fullest extent permitted by law.

10. Termination

10.1 By You

You may cancel your subscription and close your account at any time by contacting us at support@prajnatechlabs.com or through the account settings page.

10.2 By Us

We may suspend or terminate your access immediately and without notice if we believe you have violated these Terms, if required by law, or if your continued use poses a risk to other users or the integrity of the Platform.

10.3 Effect of Termination

Upon termination, your right to access the Platform ceases immediately. We will retain and provide your data for a period of 30 days following termination, after which it may be permanently deleted in accordance with our Privacy Policy.

11. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Hyderabad, Telangana, India.

Nothing in this clause prevents either party from seeking urgent injunctive relief from a competent court.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

We encourage you to review these Terms periodically. The "Last Updated" date at the top of this page indicates when the Terms were last revised.
